Organization and participation in events agreement
This document, the terms of which are set forth below, is an offer (proposal) of the Public Organization «Consulting Center for Support of Small and Medium Business» (tax code 43 555 113, legal address: ½ Yaroslavskyi Lane, Kyiv, 04 071), registered and legally existing under the laws of Ukraine (hereinafter referred to as the Organization) to individuals (including those with the status of an entrepreneur) and representatives of legal entities (hereinafter referred to as the Users) to enter into the Agreement on Organization and Participation in Events (hereinafter referred to as the Agreement) on the terms and conditions set forth below and become a Participant (as defined below) of the Event (as defined below).
The purpose of the Organization is to promote the development of small and medium-sized enterprises, in particular by organizing and holding relevant events.
This Agreement is concluded by the Parties from the moment the User accepts the offer. The User’s authorization (as defined below) on the Site is considered acceptance of the Organization’s offer to enter into this Agreement. The User is obliged to read the terms of this Agreement before Authorization on the Website. The User who does not agree to the terms of this Agreement shall not be entitled to create a User Account and register for the Events.
1. Basic concepts
1.1. User Authorization is a process of registering the User on the Website by entering personal (personal) data (such as surname, name, patronymic, field of activity, age, e-mail address, telephone number and/or other data) with further confirmation of such Authorization in the manner prescribed by this Agreement. As a result of the User’s Authorization, the User has his/her own account (personal account) and is able to use the Website in accordance with its functional purpose, in particular, to register for the Events on the terms and conditions set forth in this Agreement.
1.2. User is an adult, legally capable individual, individual entrepreneur and/or representative of a legal entity who intends to attend the Event and is authorized on the Website.
1.3. User’s account (personal account) is a personal web page of the User on the Website, through which he/she can access information about the Events, register for the Events and/or perform other actions that correspond to the functionality of the account and the Website.
1.4. Event is an event organized by the Organization in the format of a training, lecture, workshop, conference, creative event, round table, webinar, thematic game, workshop, etc., either alone or thematically combined into a course, within the framework of the Diia.Business Project in Warsaw.
1.5. Partner Event is an Event organized and/or conducted by the Organization’s Partner in accordance with clause 8.4. of this Agreement.
1.6. Diia.Business Project in Warsaw is an activity of the Organization aimed at implementing actions, in particular, but not exclusively, organizing and holding Events aimed at implementing, supporting and developing the national project for entrepreneurship and export development Diia.Business initiated by the Ministry of Digital Transformation of Ukraine.
1.7. Website is a set of data, electronic (digital) information within the framework of the Diia.Business Project in Warsaw, structured within the address https://diia-business-warsaw.com, which is accessed via the Internet.
1.8. Participant is a User whose registration for the Event is confirmed in accordance with the procedure set forth in this Agreement.
2. Terms and conditions of the Agreement
2.1. Under this Agreement, the Organization shall organize the Event, conduct it and provide information about it on the Website, and the User shall have the right to register for the Event on the terms and in the manner specified in this Agreement.
2.2. The User undertakes to create a User Account on the Website to obtain the functionality to register for the Event.
2.3. When creating an Account, the User shall provide information about himself/herself (personal data) necessary for the User’s Authorization.
2.4. After entering the relevant data, the User receives a letter to the e-mail address provided by him/her to confirm the data. The User undertakes to perform the actions specified in the letter for the proper registration (creation) of the Account.
2.5. The User who has an Account may register for the Events, information about which is available on the Website.
2.6. The User is prohibited from transferring the login and password to the User’s Account to third parties. In case of such unlawful actions, the Organization reserves the right to deactivate the User’s Account of the User who violates the terms of this Agreement for the period specified by the Organization, including permanently, without warning to the User.
2.7. Information about a particular Event, its topic, information about the speaker (lecturer, trainer, etc.), the cost of participation, the date, time and place of the Event, and other important information shall be posted on the Website, as a general rule, 2 (two) days before the date of the Event. Such information may be posted earlier, and in the event of objective circumstances that have affected the ability to post the information within the specified period, the information may be posted by the Organization later, which shall not be considered a violation of the terms of this Agreement.
2.8. The number of seats at the Event is limited and is indicated by the Organization on the Website.
2.9. The Organization has the right to cancel or postpone the Event due to objective reasons with prior notice to the Participants by sending a corresponding e-mail.
3. Registration procedure for the Event
3.1. Participation in the Event organized by the Organization may be free or paid.
3.2. If participation in the Event is free, the User shall select a free Event on the Website that he/she wishes to attend and register for it by clicking the «Register for the Event» button.
3.3 The User who registers for a free Event is automatically placed on the waiting list and receives an email about it.
3.4. The Organization has the right to refuse the User to register for the Event due to lack of seats or for other objective reasons without explaining them to the User and without applying any liability to the Organization.
3.5. In the case of thematic Events and/or Events for specialists in specific fields, preference in registration shall be given to representatives of a particular field, which shall not be considered a violation of the terms of this Agreement.
3.6. Upon receipt of the User’s application/request for registration for the Event, the Organization shall send the User a letter of refusal to register for the Event (regardless of the title of the letter) or a letter confirming such registration.
3.7. If the User has chosen a paid Event, the User shall click the «Register and Pay» button and pay for the Event in the manner prescribed by this Agreement. The User who registers for several Events that are thematically combined into a course shall pay for the course of Events in the manner prescribed by this Agreement.
3.8. The User who has paid for participation in the Event shall be deemed registered for the Event from the moment the funds are credited to the Organization’s bank account.
3.9. Registered Users for the Event (in case of a free Event — from the moment of receiving an e-mail confirming registration; in case of a paid Event — from the moment of receipt of funds to the bank account of the Organization) are considered Participants.
3.10. The Participant shall receive an e-mail 24 (twenty-four) hours before the time of the Event with a reminder of the Event.
3.11. Each Participant registered for a free Event is obliged to confirm his/her participation in the received e-mail in accordance with clause 3.10 of this Agreement no later than 4 (four) hours before the time of the Event. In case participation in the Event is not confirmed in accordance with the procedure specified in this clause of the Agreement, registration for the Event shall be automatically canceled and the Participant shall not be entitled to attend it.
3.12. The Participant wishing to cancel participation in a free Event shall cancel his/her participation through the User Account no later than 4 (four) hours before the time of the Event. A Participant wishing to cancel participation in a paid Event shall cancel his/her participation through the User Account no later than 48 (forty-eight) hours prior to the Event.
3.13. The Participant who has canceled participation in a paid Event in accordance with the procedure specified in clause 3.12 of this Agreement shall be entitled to a refund of the paid funds by submitting a request to the Organization and indicating the Participant’s bank details for the refund.
3.14. The Participant who has not confirmed his/her participation (if the Agreement provides for such an obligation), has not appeared at the Event and/or has not canceled his/her participation in accordance with the procedure provided for in this Agreement shall bear all negative consequences related thereto, including non-refund of the payment made by him/her.
3.15. The Organization shall have the right to restrict the User’s participation in subsequent Events if he/she has been registered but has failed to appear at the Event three times (whether these actions are committed in a row or not). Restriction of participation in the Event shall mean rejection of the request/application for registration for the Event without explanation.
3.16. The User/Participant is prohibited from impersonating another person or gaining unauthorized access to the Account of another person. In case of such unlawful actions, the Organization reserves the right to deactivate the User’s Account of the User who violates the terms of this Agreement for a period determined by the Organization, including permanently, and to refuse the Participant to participate in the Event without warning.
4. Participation fee for the Event
4.1 If the Event is paid, its cost is indicated on the Website and paid by the User as a full prepayment to the bank account of the Organization through the proposed functionality on the Website. In case of registration for an Event course, the User shall pay the cost of the Event as a full prepayment.
Bank commissions shall be paid by the User independently in excess of the cost of participation in the Event.
4.2 The cost of the Event is indicated in the national currency — UAH.
4.3. The cost of the Event is determined by the Organization unilaterally.
4.4. If the Event is free of charge, information about it is indicated on the Website.
5. Procedure for Participation in the Event
5.1. The Participant shall be obliged to arrive at the Event 10 (ten) minutes before its start. The Organization has the right not to allow a late Participant to attend the Event.
5.2. The Organization does not allow Participants to attend the Event under the influence of alcohol and/or drugs and this will not be considered a violation of the terms of this Agreement.
5.3. By this Agreement, the Participant grants the Organization free unrestricted consent to take photos and/or videos by using a video camera, camera, mobile phone camera, other technical means that have the ability to take photos.
5.4. By this Agreement, the Participant gives unrestricted, free consent to the public display, reproduction, distribution of photos, videos / parts thereof with the Participant’s image and/or voice without limitation of the territory or method of display / reproduction / distribution and this will not be considered a violation of the interests of the individual depicted in the photos and other artistic works (non-property rights) and the rights of the personal data subject.
5.5. The content and procedure of the Event is formed by the speaker (lecturer, trainer, etc.). The Organization does not give any guarantees regarding the level of success that the Participant can achieve by attending the Event and the Participant accepts the risk that the information provided during the Event may not meet his/her individual needs and interests.
5.6. The Participant shall make an independent decision whether to apply the advice and information received at the Event and shall be solely responsible for such application.
5.7. If the Participant feels unwell during the Event, the Participant shall immediately notify the representative of the Organization. A Participant who feels unwell before the Event, has signs of a respiratory disease, negative medical indicators that may affect participation in the Event shall not be entitled to attend the Event.
5.8. In case practical tasks are performed during the Event, including practices that require active actions from the Participant, the Participant who does not want and/or cannot perform them is not obliged to perform them. It is the right of the Participant to perform any tasks, practices or other actions during or after the Event.
5.9. In the event that an air alert is announced in the region/city during the Event and/or another unforeseen situation occurs, the Participant shall be obliged to leave the premises where the Event takes place. The Organization is not responsible for the health and/or life of the Participant.
5.10. Handouts for the Event (if any), presentations and/or other intellectual property rights objects shall be brought to the attention of the Participant for his/her personal use. Nothing in this Agreement shall be construed as granting licenses or any other permissions to the Participant to use the intellectual property rights of others.
6. Responsibility
6.1. The Parties shall be liable for non-fulfillment or improper fulfillment of the terms of this Agreement in the manner prescribed by this Agreement and the current legislation of Ukraine.
6.2. The Organization shall not be liable for the consequences of violation of the terms of this Agreement by the User/Participant.
6.3. The Parties shall be released from liability for full or partial failure to fulfill their obligations if the failure is the result of such force majeure circumstances as: war or hostilities, earthquake, flood, fire and other natural disasters, acts or actions of public authorities, changes in customs regulations, import and export restrictions that arose independently of the will of the Parties after the conclusion of this Agreement. The Party unable to fulfill its obligations shall immediately notify the other Party thereof and provide documents confirming the existence of such circumstances issued by the authorized bodies.
6.4. The Parties shall make every effort to resolve conflicts and disputes through negotiations.
7. Website Terms of Use
7.1. The terms of use of the Website are governed by the terms of this Agreement.
7.2. The User shall treat his/her login information for the Account as confidential.
7.3. The User has the right to delete his/her Account at any time.
7.4. While using the Website, the User shall not: (a) bypass, disable or otherwise interfere with any security-related features of the Site or features that prevent or restrict the use or copying of content available through the Site; (b) provide any false information in the Account data; © misleadingly claim to be acting on behalf of a third party; (e) send unsolicited messages, spam or repetitive messages; (f) engage in any illegal or unlawful behavior (g) modify, interfere with, intercept, disrupt or attempt to hack the Site; (h) misuse the Site by deliberately introducing viruses, Trojan horses, worms, logic bombs, time bombs or other similar material or taking any other action that may harm the Site; (i) collect data from other Users of the Site; (j) submit or make any information or comment about another person that is false, private, confidential or defamatory.
7.5. Under this Agreement, the User represents and warrants that he/she will not abuse the resources of the Website, in particular, the support services.
8. Other terms and conditions
8.1. The Parties agree that this Agreement shall be deemed concluded by the Parties from the moment of User’s Authorization. This Agreement shall be valid until the Parties fully fulfill it.
8.2. The Parties shall have the right to terminate this Agreement unilaterally in case of failure of one of the Parties to fulfill the terms of this Agreement and in cases provided for by the current legislation of Ukraine and this Agreement.
8.3 This Agreement is a public contract.
8.4. By entering into this Agreement, the User/Participant gives its free consent to the transfer of the Organization’s rights and obligations under this Agreement to a third party (individual entrepreneur and/or legal entity, hereinafter referred to as the Partner). In this case, the terms of this Agreement shall apply to the Partner. In case of organizing and/or holding a Partner Event, the User/Participant shall receive information by e-mail or other means, which will contain, among other things, the data of the Event organizer — the Partner. If the Partner Event is paid, the payment for the Event shall be made to the account of the Partner. When paying for the Event in favor of the Partner, the User/Participant re-confirms his/her consent to the replacement of the party to this Agreement. The User/Participant has the right to contact the Organization to obtain information about the Partner and/or the Partner Event.
8.5. The agreement concluded by the Parties by accepting this offer by the User is equivalent to the agreement signed by the Parties.
8.6. The information provided by the User is confidential.
8.7. By this Agreement, the User/Participant gives his/her free consent to the Organization to receive SMS messages (including via messengers) to his/her phone number, letters to the e-mail address, and/or calls from the Organization in order to notify the User/Participant about the Events and/or provide other information not related to a particular Event, including for marketing purposes. The User/Participant has the right to withdraw consent to receive marketing information by contacting the Organization by phone number or e-mail address indicated on the Website.
8.8. The Organization may update the terms of this Agreement to clarify the rules for using the Website, attending the Events or taking into account new or different rules (for example, when adding new Website features), and the Organization reserves the right, at its sole discretion, to unilaterally change and/or amend this Agreement at any time. The changes shall come into force on the day of their publication, unless otherwise specified. Continued use of the Website by the User after the amendments come into force means that the User accepts these amendments to the Agreement.
8.9. The provisions of the Agreement are considered by the Parties to be autonomous, and their invalidity or impossibility of execution shall not affect the validity or enforceability of any other provision.
8.10. This Agreement is concluded in the Ukrainian language and translated into English.
